JSW One Platforms Limited

JSW One Platforms, a JSW Group company, runs an online platform through which small and mid-sized businesses in India purchase steel, cement and other materials, and resells processed steel and its own-brand products through a subsidiary, with lending and delivery services alongside.

Based on the DRHP dated 24 September 2026 · financial information to 30 June 2026

What matters

The main points first. Select Why? on any of them for the reasons and the figures.

ConcernThe business rests on the JSW Group, which supplies most of what it sells, pays most of its commission and owns its brand. Why?Close

Why it matters. JSW Group companies supplied 85.70% of order value in Fiscal 2026, JSW Steel alone 42.70%, and related-party dealings equalled 62.19% of revenue.

What the reports cannot tell us. The DRHP says the arrangements are short-term with no minimum volumes, but gives no contract terms, so how secure the supply is cannot be judged.

Show the evidence: Dependence on JSW Group (finding 2), Related-party dealings (finding 8), Promoter rights agreed for listing (finding 21), Cash from supplier credit (finding 22)

UncertainSales are growing fast, but sustained profitability remains unproven: other income exceeded profit before tax in the first profitable quarter. Why?Close

Why it matters. Revenue from operations rose to ₹5,743.39 crore in Fiscal 2026 from ₹1,397.93 crore in Fiscal 2024; the loss was ₹106.49 crore in Fiscal 2026 and the June 2026 quarter's profit before tax of ₹14.20 crore was smaller than its other income of ₹15.26 crore.

What the reports cannot tell us. One quarter, in a seasonal business, cannot show whether the core trading business will stay profitable.

Show the evidence: Growth and losses (finding 3), Short record, one profit quarter (finding 11)

ConcernThe business uses cash even when profitable and has relied on shareholders' money to grow. Why?Close

Why it matters. Operations used ₹(244.69) crore in Fiscal 2026 and ₹(115.17) crore in the profitable June 2026 quarter; preference shares raised ₹574.99 crore in Fiscal 2026.

What the reports cannot tell us. Part of the outflow is lending by JOFL, and the DRHP does not show the commerce business's cash flow on its own.

Show the evidence: Cash used by operations (finding 4)

UncertainMore of the IPO money goes to selling shareholders than to the company, and the company's share funds growth plans that are not yet firm. Why?Close

Why it matters. The offer for sale is up to ₹1,754.01 crore against a fresh issue of up to ₹1,300.00 crore; of the fresh money, ₹500.00 crore is for JOFL, ₹350.00 crore for technology (₹278.04 crore of it salaries) and ₹125.00 crore for marketing.

What the reports cannot tell us. The general-purposes amount is blank, no definitive contracts are signed, and spending runs to Fiscal 2030.

Show the evidence: Who gets the money (finding 5), Use of the new money (finding 6)

ConcernShares changed hands within the past year at prices ranging from a few rupees to several hundred, including a low-priced deal inside the promoter group. Why?Close

Why it matters. A promoter-group company bought 6.74% of the company at ₹9.38 a share in September 2025, while investors paid ₹232.00 and the sellers of the home-building business received shares valued at ₹369.00.

What the reports cannot tell us. These include an intra-group transfer, the conversion of preference shares and shares given to pay for an acquisition, so the prices may not be directly comparable. The DRHP does not explain the ₹9.38 price, and the offer price is not yet set.

Show the evidence: Recent share prices (finding 7)

UncertainBorrowings are modest relative to equity, but short-term; the young lending business has not yet been tested through a downturn. Why?Close

Why it matters. Borrowings were ₹207.38 crore against equity of ₹629.88 crore at 30 June 2026, and JOFL reports no non-performing loans on a book of ₹246.01 crore.

What the reports cannot tell us. The lending arm has about two years of history, and the DRHP shows no period of stress by which to judge its loan book.

Show the evidence: Borrowings (finding 15), The young lending arm (finding 10)

What could change the outlook?

Developments to watch, as the company's own documents show them. How they could matter is our interpretation, not a forecast and not a view on the share price; each says what later reports would confirm or contradict.

WatchReliance on JSW Group supply. A broader supplier base would make results less dependent on one group's decisions; a rising group share would leave the platform's supply and margins tied to JSW Group. Why?Close

What the company's documents show. JSW Group's share of order value rose to 87.83% in the quarter to June 2026 from 80.07% in Fiscal 2024.[1] The company says its strategy is to widen its supplier base to reduce this concentration and show value beyond JSW Group.[2]

Would strengthen this reading: The share of order value from outside suppliers rising over several periods, with related-party dealings falling as a share of revenue.

Would weaken it: JSW Group changing its commercial terms, selling more directly or through other channels, or its share of supply continuing to rise.

What the reports cannot yet show: The DRHP gives no contract terms or pricing for the group's supply and commission arrangements.

WatchTurning profit into cash. Profit over full years, with cash from operations turning positive, would reduce the need for outside funding; continued cash use would mean more equity or debt. Why?Close

What the company's documents show. The company made a profit of ₹14.21 crore in the quarter to June 2026 after a loss of ₹106.49 crore in Fiscal 2026, but operations used ₹(115.17) crore of cash in that quarter.[1][2] The company itself warns it may not stay profitable or generate positive cash flow.[3]

Would strengthen this reading: Profit sustained over full years from trading rather than other income, with operating cash flow turning positive.

Would weaken it: A return to losses after the June quarter, or working capital and lending continuing to absorb cash.

What the reports cannot yet show: The DRHP gives no forecast and no cash flow for the commerce business on its own.

WatchGrowth of the lending arm. Lending could add interest income and support platform sales, but a fast-growing, partly unsecured book to small businesses brings credit risk. Why?Close

What the company's documents show. JOFL's loan book reached ₹246.01 crore at the end of June 2026 with no non-performing loans reported, and the company plans to put ₹500.00 crore of the new money into it.[1][2][3]

Would strengthen this reading: The loan book growing with bad loans staying low, JOFL turning profitable and obtaining a credit rating.

Would weaken it: Rising overdue loans, losses at JOFL, or regulatory findings after its first Reserve Bank inspection.

What the reports cannot yet show: The DRHP gives no information on how the loans perform in a downturn, which the short history cannot yet show.

WatchOwn brands and marketing spend. The company expects its own brands to carry higher margins; if heavier marketing builds them, margins could improve, but the spending will add costs before any benefit. Why?Close

What the company's documents show. Sales of the company's own brands, such as JSW One TMT bars, rose to ₹1,398.92 crore in Fiscal 2026, 7.52% of the value of orders including taxes.[1] JODL, which sells them and is to receive new money for marketing, lost ₹(51.77) crore in Fiscal 2026.[2]

Would strengthen this reading: Own-brand sales growing as a share of the total, with JODL's losses narrowing as marketing rises.

Would weaken it: Marketing spending rising without matching sales, or quality problems at the contract manufacturers.

What the reports cannot yet show: The DRHP gives no profit figures for the own-brand products.

The company in figures
Business

JSW One Platforms runs an online platform through which mainly small and mid-sized businesses purchase steel, cement and other materials, with financing, delivery and processing arranged on the same platform.[1] Almost all its revenue comes from its subsidiary JODL buying and reselling materials (sale of goods was 98.09% of commerce revenue in Fiscal 2026), and JSW Group companies supplied 85.70% of the value of orders on the platform.[2][3]

Financial position

Revenue from operations rose to ₹5,743.39 crore in Fiscal 2026 from ₹1,397.93 crore two years earlier, but the company lost ₹106.49 crore in Fiscal 2026 and made its first profit, ₹14.21 crore, in the quarter to June 2026.[4][5] Operations used cash in every period shown, ₹(244.69) crore in Fiscal 2026; at 30 June 2026 it had borrowings of ₹207.38 crore, cash of ₹20.01 crore and other bank balances of ₹211.85 crore.[6][7]

The offer

The DRHP offers up to ₹3,054.01 crore of shares: a fresh issue of up to ₹1,300.00 crore for the company and an offer for sale of up to ₹1,754.01 crore by existing shareholders; the price is not yet fixed.[8] The company plans to put ₹500.00 crore into its lending arm, ₹350.00 crore into technology and ₹125.00 crore into marketing, and its promoters, JSW Steel and JSW Cement, own 78.60% before the offer.[9][10][11]

#QuestionAnswer in briefAssessmentWhat it means
1What does the company do, and how does it make money?Mainly a reseller of steel: sale of goods was 98.09% of commerce revenue in Fiscal 2026; steel was 98.79% of order valueMixedAlthough the company describes itself as a technology platform, its revenue is mostly the full value of steel it buys and resells, so revenue is large compared with what it keeps. The DRHP gives no profit figure for the marketplace and the resale business separately, so which part earns most is not shown.
2How dependent is the company on a few customers, suppliers or contracts?JSW Group supplied 85.70% of order value in Fiscal 2026; JSW Steel alone 42.70%; arrangements are short-term with no minimum volumesNeeds attentionThe platform's supply, much of its commission income and its brand all come from the promoters' group, so its results depend on JSW Group's choices. JSW Steel's own share has fallen, but the group's total share has risen, and the DRHP gives no contract terms that would protect the company if the group changed course.
3Is the business growing, and is it making a profit?Revenue ₹1,397.93 crore to ₹5,743.39 crore in two years; losses each year (₹106.49 crore in Fiscal 2026); ₹14.21 crore profit in June 2026 quarterMixedFast growth with narrowing losses shows the business scaling, but it has been loss-making in every full year shown, so the record of profit is a single quarter. Falling share-option costs explain part of the improvement, and one quarter cannot show whether profit will hold over a full year.
4Does profit turn into cash?Operations used cash in every period, ₹(244.69) crore in Fiscal 2026 and ₹(115.17) crore in the profitable June 2026 quarterNeeds attentionThe business has so far needed outside money to grow, because both losses and growing working capital (and loans by its lending arm) absorb cash. Part of the outflow is lending, which a finance company is expected to fund, but the DRHP does not separate the commerce business's own cash flow.
5Is the company getting the money, or are existing shareholders selling?Fresh issue up to ₹1,300.00 crore to the company; offer for sale up to ₹1,754.01 crore to JSW Steel, JSW Cement and MitsuiMixedMost of the offer pays existing shareholders rather than funding the business, though the fresh issue is still a large sum for a company of this size. The share counts and price are left blank in the DRHP, so how much of the company changes hands is not yet known.
6What will the company do with the new money, and how much rests on plans that are not yet firm?₹500.00 crore for lending arm JOFL, ₹350.00 crore technology (₹278.04 crore salaries), ₹125.00 crore marketing; spent Fiscals 2028-2030Needs attentionMost of the new money funds growth spending and the lending arm rather than paying off debt or building assets, and much of it covers costs that recur every year. The amounts rest on management estimates, with no signed contracts and the general-purposes amount still blank, so the plan may change.
7Did insiders buy or receive shares recently, and at what price?Promoter-group firm bought 6.74% at ₹9.38 a share in September 2025; others paid ₹232.00 and ₹369.00 within a yearNeeds attentionThe prices paid within the past year range from ₹9.38 to ₹369.00 a share, and the lowest was paid by a member of the promoter group buying from a group company. These include an intra-group transfer, the conversion of preference shares and shares given to pay for an acquisition, so the prices may not be directly comparable. The DRHP gives no reason for the ₹9.38 price, and the offer price, which these costs will be compared with, is not yet set.
8Are there related-party transactions or group companies that deserve attention?Related-party dealings ₹3,571.76 crore in Fiscal 2026 (62.19% of revenue); purchases from JSW Steel alone ₹2,473.47 croreNeeds attentionBecause the promoters' group is both the main supplier and a major source of income, the terms of these dealings largely decide the company's margins. The DRHP states they are at arm's length but gives no price comparison with outside suppliers, so the reader cannot check the terms.
9Who are the promoters, what will they own after the IPO, and what dealings do they have with the company?JSW Steel and JSW Cement own 78.60% before the offer; holdings after the offer are not yet statedMixedThe promoters will keep control after listing and are also the company's main suppliers and, in steel, potential competitors, so their interests and those of other shareholders may differ. The post-offer holdings depend on the price and share count, which the DRHP does not yet give.
10How sound is the young lending business that is to receive the largest share of the new money?Loan book ₹246.01 crore in June 2026, no bad loans reported so far, losses of ₹(13.38) crore in Fiscal 2026MixedA clean loan book so far supports the lending model, but with short loans and a book that grew fast, two years of history cannot show what losses will be through a downturn. The money planned for JOFL is far larger than its present net worth, and the DRHP does not show how quickly it can lend it.
11How long is the track record, and is any growth recent or one-off?Platform launched July 2021; the only profitable quarter had pre-tax profit of ₹14.20 crore and other income of ₹15.26 croreNeeds attentionThe business added new activities within the period, including its own delivery operation, lending and home building, so growth rates partly reflect a changing model rather than steady expansion. The single profitable quarter rested on other income and a share-option credit, so it does not yet show that the core trading business is profitable.
12What are the most serious risks the offer document highlights?DRHP's lead risks: reliance on JSW Group, steel demand and prices, and JODL, which lost ₹(51.77) crore in Fiscal 2026Needs attentionThe company's own list of risks confirms that its results are tied to one group, one material and one loss-making subsidiary. Risk factors describe what could happen, not how likely it is, so they do not show the size of each risk.
13Were the board, committees or key managers put in place shortly before the IPO?Two of four independent directors joined 10 September 2026; finance chief changed twice since December 2024; some records missingNeeds attentionBoard oversight and the finance team have little shared history, so their work as a listed company is untested. The DRHP describes the records gap and filing errors as remedied or without proceedings, but it cannot show how the new structure will work in practice.
14Are working capital and collections under control?Stock ₹311.40 crore in June 2026, up from ₹66.22 crore; receivables collected in about 18.65 days; 22.24% up to six months overdueMixedCollections look short for a business selling to small firms, but a growing stock and a share of receivables overdue tie up cash. One quarter's fall in payables cannot show whether supplier credit is tightening.
15How much debt does it carry, and will the IPO reduce it?Borrowings ₹207.38 crore vs equity ₹629.88 crore (0.33 times) at 30 June 2026, all short-term; IPO money not for repaymentMixedBorrowings are small against equity and bank balances, so debt is not the main risk. They are all short-term and rose quickly in one quarter, and because the business uses cash, they may keep rising.
16Are there court cases, regulatory actions or tax disputes that could matter?Company: 5 tax matters (₹9.57 crore); promoters: 3 criminal cases, 340 tax matters, ₹13,894.76 crore involved where quantifiableMixedThe company's own legal exposure is small; the large sums sit with the promoters, which are much bigger companies. They matter here mainly through the JSW brand and the promoters' role as suppliers, which the DRHP does not quantify.
17What do the auditors and the restated accounts say?Earlier auditor's reports modified for audit-trail gaps and cash losses; no adjustments to restated figures neededMixedThe DRHP states that none of the matters required any adjustment to the restated figures. Audit-trail weaknesses nevertheless remain relevant to record-keeping and reporting controls. The full years and the latest quarter were audited by different firms, and the DRHP does not say why the auditor changed.
18What contingent liabilities or commitments sit outside the balance sheet? No contingent liabilities reported; letters of comfort of ₹150.00 crore (JODL) and ₹140.00 crore (JOFL) to subsidiaries' banksMixedFew obligations sit outside the accounts, which limits hidden exposure. The letters of comfort tie the parent to its subsidiaries' bank lines in practice, even though the DRHP says they create no legal duty to pay.
19How do the company's figures compare with the listed peers the document names? No listed peers named: the DRHP says none is comparable; price-based ratios left blankNot disclosedWithout a peer table, readers have no comparison printed in the offer document itself. The company's own return figures are negative for the full years, so earnings-based comparisons would in any case be of limited use.
20Which important questions remain unanswered or unclear in the offer document?Related-party revenue for Fiscal 2025 given as ₹84.12 crore and ₹91.52 crore; price, share count and post-offer holdings blankNeeds attentionSome gaps will be filled by the Red Herring Prospectus, but the inconsistencies and the unexplained intra-group price limit how far the DRHP's related-party and acquisition statements can be relied on until the RHP reconciles them.
21What changes in the company's structure and agreements were made in the run-up to the IPO, and what do they mean after listing?Promoters to get 3 and 2 board seats and vetoes (such as capital spending over ₹50.00 crore) after listing; 0.25% brand royalty once profitableNeeds attentionIf approved, the promoters would keep a say over spending, acquisitions and the business plan beyond what their votes alone give, which matters because they are also the main suppliers. The resolution has not been voted on, and the DRHP does not estimate what the brand royalty would cost.
22Is operating cash flow helped or hurt by timing effects such as delayed payments or advances?Payables to related parties ₹293.99 crore vs ₹30.58 crore to others at 30 June 2026; payables fell ₹(94.82) crore in the June quarterNeeds attentionCredit from related-party suppliers and customers' advances have carried a large part of the stock and receivables, so the cash position depends on the JSW Group keeping its payment terms. The DRHP gives no terms for this credit, and one quarter's fall in payables cannot show whether the terms are changing.
23After the IPO, will the company have enough cash and funding for its needs?Cash ₹20.01 crore, other bank balances ₹211.85 crore, undrawn lines ₹232.62 crore at 30 June 2026; IPO money to be spent in Fiscals 2028-2030Needs attentionManagement's statement relies partly on offer money that is earmarked for lending, technology and marketing from Fiscal 2028, so cash needs until then rest on existing balances and short-term bank lines. The DRHP gives no cash-flow forecast, so it does not show whether these sources cover continued cash use.
24Have past acquisitions delivered what was described?JSW One Homes bought for ₹69.85 crore (₹44.57 crore goodwill) in June 2026; added ₹18.20 lakh revenue; quarter profit before tax would have been ₹10.13 croreNeeds attentionThe purchase is too recent to show results, and on the DRHP's own pro forma figure it would have reduced the group's only profitable quarter. The DRHP does not explain that figure, why the partner network shrank, or how the business is expected to earn back the goodwill.
25How do the key performance indicators the offer document reports compare across the years shown?Order value up 48.07% in Fiscal 2026 but buying customers flat at 6,280 (6,212); retention 38.03%; contribution margin 1.57% of NMVNeeds attentionGrowth in Fiscal 2026 came from more and larger orders by a customer base of about the same size, and on the DRHP's retention measure fewer than half of a year's customers bought again in its last quarter, so growth depends on winning customers repeatedly. The DRHP does not explain the flat customer count or give order value per customer.
26How much cash remains after capital spending, and how has that changed?Capital spending ₹(72.80) lakh in Fiscal 2026, but operations used ₹(244.69) crore, so no cash was left after capital spending in any periodNeeds attentionThe business needs little equipment, so capital spending does not explain its cash needs; losses, working capital and lending do. Because technology costs are expensed rather than capitalised, low capital spending does not mean low investment in the platform.
1.What does the company do, and how does it make money?Mainly a reseller of steel: sale of goods was 98.09% of commerce revenue in Fiscal 2026; steel was 98.79% of order valueMixed
What it means

Although the company describes itself as a technology platform, its revenue is mostly the full value of steel it buys and resells, so revenue is large compared with what it keeps. The DRHP gives no profit figure for the marketplace and the resale business separately, so which part earns most is not shown.

The answer

JSW One Platforms runs an online business-to-business platform through which mainly small and mid-sized businesses purchase steel, cement and other building and manufacturing materials, with financing, delivery and processing arranged through the same platform.[1] Almost all of its revenue comes from its subsidiary JODL buying materials and reselling them, often cut or processed to order: sale of goods was ₹5,619.56 crore, or 98.09% of commerce revenue, in Fiscal 2026.[2][3] Goods sold by other sellers on its marketplace earn it only a commission, a percentage of the value transacted, which came to ₹100.29 crore from its main MSME business in Fiscal 2026.[4][5] Steel and steel products made up 98.79% of the value of orders on the platform (net merchandise value, NMV) in Fiscal 2026, and lending through its own finance company, JOFL, brought in ₹14.22 crore of revenue.[6][7] The DRHP's own measure of what the company keeps after the cost of goods, freight and performance marketing (contribution margin) was ₹247.22 crore on NMV of ₹15,754.99 crore in Fiscal 2026.[8][9]

Why it is ranked here

Ranked first: every other finding depends on seeing that the business is mainly steel resale through JODL, with a small commission and lending business alongside.

2.How dependent is the company on a few customers, suppliers or contracts?JSW Group supplied 85.70% of order value in Fiscal 2026; JSW Steel alone 42.70%; arrangements are short-term with no minimum volumesNeeds attention
What it means

The platform's supply, much of its commission income and its brand all come from the promoters' group, so its results depend on JSW Group's choices. JSW Steel's own share has fallen, but the group's total share has risen, and the DRHP gives no contract terms that would protect the company if the group changed course.

The answer

The business depends heavily on its promoters' group: materials and services from JSW Group companies made up 85.70% of the value of orders on the platform in Fiscal 2026 and 87.83% in the quarter to June 2026, up from 80.07% in Fiscal 2024.[1] JSW Steel alone accounted for 42.70% of order value in Fiscal 2026, down from 69.00% in Fiscal 2024, and related parties supplied 63.51% of the goods JODL bought for resale.[2][3] Related parties also paid 91.51% of the company's commission income in Fiscal 2026.[4] The DRHP says these arrangements are short-term and non-exclusive, with no minimum volumes, and that the owner of the JSW brand may end the company's licence without giving reasons on 180 days' notice.[5][6] Customers are more spread out: the top-10 customers made up 23.18% of order value in Fiscal 2026 and the largest one 4.21%.[7][8]

Why it is ranked here

Ranked second: the DRHP shows that supply, commission income and the brand all rest on JSW Group, which affects how every later figure should be read.

3.Is the business growing, and is it making a profit?Revenue ₹1,397.93 crore to ₹5,743.39 crore in two years; losses each year (₹106.49 crore in Fiscal 2026); ₹14.21 crore profit in June 2026 quarterMixed
What it means

Fast growth with narrowing losses shows the business scaling, but it has been loss-making in every full year shown, so the record of profit is a single quarter. Falling share-option costs explain part of the improvement, and one quarter cannot show whether profit will hold over a full year.

The answer

Revenue from operations grew fast: ₹1,397.93 crore in Fiscal 2024, ₹3,962.81 crore in Fiscal 2025 and ₹5,743.39 crore in Fiscal 2026, growth the DRHP puts at 183.48% and 44.93%.[1][2] The company made a restated loss in each full year, of ₹227.02 crore, ₹217.02 crore and ₹106.49 crore, and a profit of ₹14.21 crore in the quarter to June 2026.[3] EBITDA was negative in each full year, at ₹(66.94) crore in Fiscal 2026, and ₹22.88 crore in the latest quarter.[4] Employee share-option costs were a large part of the earlier losses (₹119.02 crore in Fiscal 2024 and ₹59.46 crore in Fiscal 2025), and in the latest quarter they were a credit of ₹1.29 crore; the company's adjusted loss excluding them was ₹(90.51) crore in Fiscal 2026.[5][6]

Why it is ranked here

Ranked third: whether the business can make money on its growing sales is the basic test of the record behind the offer, and here the answer rests on one quarter.

4.Does profit turn into cash?Operations used cash in every period, ₹(244.69) crore in Fiscal 2026 and ₹(115.17) crore in the profitable June 2026 quarterNeeds attention
What it means

The business has so far needed outside money to grow, because both losses and growing working capital (and loans by its lending arm) absorb cash. Part of the outflow is lending, which a finance company is expected to fund, but the DRHP does not separate the commerce business's own cash flow.

The answer

No: operating activities used cash in every period shown, including the profitable latest quarter, when profit before tax was ₹14.20 crore but operations used ₹(115.17) crore.[1][2] In Fiscal 2026 operations used ₹(244.69) crore against a loss before tax of ₹(106.49) crore; in Fiscal 2025 they used ₹(168.14) crore and in Fiscal 2024 ₹(195.41) crore.[1][2] The company says the outflows came from operating losses and from more money tied up in receivables and stock as distribution grew; loans made by its lending arm also absorbed ₹(174.08) crore in Fiscal 2026, and in the latest quarter trade payables fell by ₹(94.82) crore.[6][3][4] The gap was filled mainly with shareholders' money: ₹574.99 crore came from the issue of compulsorily convertible preference shares in Fiscal 2026.[5]

Why it is ranked here

Ranked fourth: a business that uses cash even in its profitable quarter depends on fresh funding, which also explains part of the purpose of this offer.

5.Is the company getting the money, or are existing shareholders selling?Fresh issue up to ₹1,300.00 crore to the company; offer for sale up to ₹1,754.01 crore to JSW Steel, JSW Cement and MitsuiMixed
What it means

Most of the offer pays existing shareholders rather than funding the business, though the fresh issue is still a large sum for a company of this size. The share counts and price are left blank in the DRHP, so how much of the company changes hands is not yet known.

The answer

Both, with more going to the sellers: of an offer of up to ₹3,054.01 crore, a fresh issue of up to ₹1,300.00 crore brings money into the company and an offer for sale of up to ₹1,754.01 crore pays existing shareholders.[1] The sellers are the promoter JSW Steel (up to ₹811.00 crore), the promoter JSW Cement (up to ₹123.00 crore) and the investor Mitsui & Co. (up to ₹820.01 crore); the company receives nothing from their sale.[2][3][4][5] The company may raise up to ₹260.00 crore in a placement before the offer, which would reduce the fresh issue by the same amount.[6][7] The DRHP puts the sellers' average cost per share at ₹20.42 for JSW Steel, ₹9.28 for JSW Cement and ₹84.99 for Mitsui; the number of shares and the price are not yet fixed.[8]

Why it is ranked here

Ranked fifth: for an IPO, who receives the money is the first fact about the offer, and here the larger part goes to the sellers.

6.What will the company do with the new money, and how much rests on plans that are not yet firm?₹500.00 crore for lending arm JOFL, ₹350.00 crore technology (₹278.04 crore salaries), ₹125.00 crore marketing; spent Fiscals 2028-2030Needs attention
What it means

Most of the new money funds growth spending and the lending arm rather than paying off debt or building assets, and much of it covers costs that recur every year. The amounts rest on management estimates, with no signed contracts and the general-purposes amount still blank, so the plan may change.

The answer

The company plans to put ₹500.00 crore into its lending arm JOFL, spend ₹350.00 crore on technology and ₹125.00 crore on marketing its own brands through JODL, with the rest for general corporate purposes, an amount left blank but capped at 25% of the gross proceeds.[1][2] The money is to be spent over Fiscals 2028, 2029 and 2030, and JOFL already reported a capital adequacy ratio of 55.26% at 30 June 2026.[3][4] Of the technology money, ₹278.04 crore is for salaries of existing and new technology staff, so much of it pays running costs rather than one-off projects.[5] The marketing budget compares with advertising and marketing spending of ₹19.38 crore in Fiscal 2026.[6] The DRHP says no definitive agreements have been signed for cloud or software services, the plans have not been appraised by any bank or independent agency, and it has not decided whether the JODL money will be debt or equity.[7][8][9]

Why it is ranked here

Ranked sixth: what the fresh-issue money is for shows what the IPO is meant to achieve; it follows the cash finding because the plans fund the same growth that uses cash today.

7.Did insiders buy or receive shares recently, and at what price?Promoter-group firm bought 6.74% at ₹9.38 a share in September 2025; others paid ₹232.00 and ₹369.00 within a yearNeeds attention
What it means

The prices paid within the past year range from ₹9.38 to ₹369.00 a share, and the lowest was paid by a member of the promoter group buying from a group company. These include an intra-group transfer, the conversion of preference shares and shares given to pay for an acquisition, so the prices may not be directly comparable. The DRHP gives no reason for the ₹9.38 price, and the offer price, which these costs will be compared with, is not yet set.

The answer

Yes, at very different prices: on 22 September 2025 Everbest Consultancy Services, a member of the promoter group, bought 22,900,207 shares (6.74% of the company) from JSW Paints at ₹9.38 a share, for ₹21.50 crore in total.[1][2] Outside investors and JSW Steel paid ₹232.00 a share for preference shares that converted into 24,784,235 equity shares in May 2026, and in June 2026 the company issued 1,622,063 shares valued at ₹369.00 each to pay for the home-building business it bought.[3][4][8] Employees exercised options for 2,584,128 shares at ₹10.30 each in January 2026, and vested options not yet exercised equal a further 6.09% of the fully diluted shares.[5][7] The DRHP puts the weighted average cost of all shares acquired in the last 18 months at ₹127.50, within a range of ₹9.38 to ₹369.00; the offer price is not yet fixed.[6]

Why it is ranked here

Ranked seventh: recent prices paid by insiders and investors are what the offer price will be compared with, and the DRHP shows a very wide spread, including a low-priced intra-group transfer.

8.Are there related-party transactions or group companies that deserve attention?Related-party dealings ₹3,571.76 crore in Fiscal 2026 (62.19% of revenue); purchases from JSW Steel alone ₹2,473.47 croreNeeds attention
What it means

Because the promoters' group is both the main supplier and a major source of income, the terms of these dealings largely decide the company's margins. The DRHP states they are at arm's length but gives no price comparison with outside suppliers, so the reader cannot check the terms.

The answer

Related-party dealings are large: after eliminating dealings inside the group, they came to ₹3,571.76 crore in Fiscal 2026, equal to 62.19% of revenue from operations, and 67.64% in the latest quarter.[1][2] The biggest item is buying goods from JSW Steel, ₹2,473.47 crore in Fiscal 2026, equal to 43.07% of revenue.[3] The company says these dealings are at arm's length, but adds there is no assurance it could not have got better terms elsewhere.[4] Loans were also paid out directly to JSW Group companies on behalf of borrowers, including ₹151.44 crore to JSW Steel in Fiscal 2026, and share-based pay for key managers was ₹78.57 crore in Fiscal 2024.[5][6]

Why it is ranked here

The promoters will keep control after listing and are also the company's main suppliers and, in steel, potential competitors, so their interests and those of other shareholders may differ. The post-offer holdings depend on the price and share count, which the DRHP does not yet give.

The answer

The promoters are two JSW Group companies, JSW Steel and JSW Cement, which together own 78.60% of the issued shares before the offer.[1][2] On a fully diluted basis JSW Steel holds 62.13% and JSW Cement 11.69%, and with other promoter-group members the total is 81.51%; the holdings after the offer are left blank in the DRHP.[3][4] Promoter shares equal to 20% of the enlarged capital will be locked in for 18 months after listing.[5] Two board members are nominees of the promoters, and the DRHP notes that the promoters and several group companies also make and distribute steel, which may lead to conflicts of interest.[6][7]

Why it is ranked here

Ranked ninth: control after listing matters most here because the controlling shareholders are also the main counterparties, already covered in findings 2 and 8.

10.How sound is the young lending business that is to receive the largest share of the new money?Loan book ₹246.01 crore in June 2026, no bad loans reported so far, losses of ₹(13.38) crore in Fiscal 2026Mixed
What it means

A clean loan book so far supports the lending model, but with short loans and a book that grew fast, two years of history cannot show what losses will be through a downturn. The money planned for JOFL is far larger than its present net worth, and the DRHP does not show how quickly it can lend it.

The answer

JOFL, registered with the Reserve Bank of India in May 2024, had loans outstanding of ₹246.01 crore at the end of June 2026, up from ₹38.76 crore at the end of Fiscal 2025, after lending ₹1,020.45 crore in Fiscal 2026.[1][2][7] It lost ₹(13.38) crore in Fiscal 2026 and ₹(1.16) crore in the latest quarter.[3] It reports no non-performing loans so far, which the company attributes to the quality of its underwriting; the loans are short, typically 45 to 90 days, and 45.68% of the book was unsecured at the end of June 2026.[4][9][6][5] The DRHP adds that the Reserve Bank has not yet inspected JOFL and that JOFL has no credit rating.[7][8]

Why it is ranked here

Replaced question 19 (there is no earlier offer document to compare). Ranked tenth because the largest single use of the new money goes into this two-year-old lender, whose record is still short.

11.How long is the track record, and is any growth recent or one-off?Platform launched July 2021; the only profitable quarter had pre-tax profit of ₹14.20 crore and other income of ₹15.26 croreNeeds attention
What it means

The business added new activities within the period, including its own delivery operation, lending and home building, so growth rates partly reflect a changing model rather than steady expansion. The single profitable quarter rested on other income and a share-option credit, so it does not yet show that the core trading business is profitable.

The answer

The record is short: the company was set up in 2018 and launched its platform for small businesses in July 2021; it began running delivery for all its own sales of goods under what it calls a full-inventory distribution model in Fiscal 2025, and bought the home-building business in June 2026.[1][2][3][4] Its only profitable period is the quarter to June 2026, when profit before tax of ₹14.20 crore was smaller than other income of ₹15.26 crore, mainly interest and discounting income, and employee share-option costs were a credit of ₹1.29 crore.[5][6][7][8] The company says demand usually peaks in January to March, so a single April-to-June quarter may not reflect a full year.[9] Because it does not meet the average operating profit test for a standard listing, the offer is made under the alternative rule for companies without that record.[10]

Why it is ranked here

Moved up: the DRHP shows the latest quarter's profit depends on other income, which qualifies findings 3 and 4.

12.What are the most serious risks the offer document highlights?DRHP's lead risks: reliance on JSW Group, steel demand and prices, and JODL, which lost ₹(51.77) crore in Fiscal 2026Needs attention
What it means

The company's own list of risks confirms that its results are tied to one group, one material and one loss-making subsidiary. Risk factors describe what could happen, not how likely it is, so they do not show the size of each risk.

The answer

The DRHP puts its dependence on JSW Group first, followed by dependence on demand for steel, whose price swings can raise costs and cut demand.[1][2][3] It stresses that all revenue from the sale of goods comes through JODL, which lost ₹(51.77) crore in Fiscal 2026 and ₹(11.78) crore in the latest quarter.[4][6] It warns that, although it made a profit in the latest quarter, it may not stay profitable or generate positive cash flow, and that it faces intense competition.[5][7]

Why it is ranked here

Ranked twelfth: the company's own statement of what could go wrong mostly confirms findings 1 to 4 rather than adding new risks.

13.Were the board, committees or key managers put in place shortly before the IPO?Two of four independent directors joined 10 September 2026; finance chief changed twice since December 2024; some records missingNeeds attention
What it means

Board oversight and the finance team have little shared history, so their work as a listed company is untested. The DRHP describes the records gap and filing errors as remedied or without proceedings, but it cannot show how the new structure will work in practice.

The answer

Much of the governance is new: two of the four independent directors joined on 10 September 2026, two weeks before the DRHP, and the stakeholders' committee was set up and the audit committee re-formed on 21 September 2026.[1][2][3][4] The company secretary was appointed on 15 September 2026, and the chief financial officer changed twice, on 4 December 2024 and again on 7 May 2026.[5][6][7] The DRHP also says some corporate records, including offer letters for share allotments made on 8 April 2021 and 9 October 2021, cannot be found.[8]

Why it is ranked here

Ranked thirteenth: with controlling shareholders who are also the main counterparties (findings 8 and 9), the strength of independent oversight matters more than usual, and much of it is new.

14.Are working capital and collections under control?Stock ₹311.40 crore in June 2026, up from ₹66.22 crore; receivables collected in about 18.65 days; 22.24% up to six months overdueMixed
What it means

Collections look short for a business selling to small firms, but a growing stock and a share of receivables overdue tie up cash. One quarter's fall in payables cannot show whether supplier credit is tightening.

The answer

Stock has grown with the distribution business, to ₹311.40 crore at the end of June 2026 from ₹66.22 crore at the end of Fiscal 2024.[1] Trade receivables were ₹295.19 crore, down from ₹385.66 crore at the end of Fiscal 2026, and the DRHP puts collection at 18.65 days for the quarter against 20.52 days for Fiscal 2026.[2][3] At the end of June 2026, 73.13% of receivables were not yet due, 22.24% were up to six months overdue and 0.91% more than six months overdue; the allowance for bad debts was ₹(4.22) crore.[4][5] In the latest quarter, trade payables fell by ₹(94.82) crore, after rising in each full year.[6]

Why it is ranked here

Ranked fourteenth: working capital is where most of the operating cash goes (finding 4), but the DRHP's collection figures do not point to a serious problem yet.

15.How much debt does it carry, and will the IPO reduce it?Borrowings ₹207.38 crore vs equity ₹629.88 crore (0.33 times) at 30 June 2026, all short-term; IPO money not for repaymentMixed
What it means

Borrowings are small against equity and bank balances, so debt is not the main risk. They are all short-term and rose quickly in one quarter, and because the business uses cash, they may keep rising.

The answer

Debt is modest: borrowings were ₹207.38 crore at the end of June 2026, against total equity of ₹629.88 crore, a ratio the DRHP gives as 0.33 times.[1][2][3] At the same date it held ₹20.01 crore in cash and ₹211.85 crore in other bank balances, and had ₹232.62 crore of undrawn committed facilities.[4][6] All borrowings are short-term working-capital loans, and they rose from ₹128.53 crore three months earlier.[5][1] The IPO will not reduce them directly: repaying borrowings is not among the objects of the offer.[7]

Why it is ranked here

Ranked fifteenth: debt matters less here than cash use and dependence, because borrowings are small against equity and the offer does not aim to repay them.

16.Are there court cases, regulatory actions or tax disputes that could matter?Company: 5 tax matters (₹9.57 crore); promoters: 3 criminal cases, 340 tax matters, ₹13,894.76 crore involved where quantifiableMixed
What it means

The company's own legal exposure is small; the large sums sit with the promoters, which are much bigger companies. They matter here mainly through the JSW brand and the promoters' role as suppliers, which the DRHP does not quantify.

The answer

The company itself faces only 5 tax matters, involving ₹9.57 crore.[1] Its promoters face 3 criminal cases, 340 tax matters, 36 regulatory actions and 11 other material cases, with ₹13,894.76 crore involved where quantifiable; the tax matters alone come to ₹5,197.31 crore (direct) and ₹6,539.19 crore (indirect).[2][3] Among them, JSW Steel faces a criminal complaint by India's Central Bureau of Investigation and a money-laundering case involving ₹16.56 crore.[4][5] A criminal complaint against the former directors of the newly bought home-building business is also pending.[6]

Why it is ranked here

Ranked sixteenth: the company's own cases are minor; the promoters' cases matter only indirectly, through reputation and the group dependence in finding 2.

17.What do the auditors and the restated accounts say?Earlier auditor's reports modified for audit-trail gaps and cash losses; no adjustments to restated figures neededMixed
What it means

The DRHP states that none of the matters required any adjustment to the restated figures. Audit-trail weaknesses nevertheless remain relevant to record-keeping and reporting controls. The full years and the latest quarter were audited by different firms, and the DRHP does not say why the auditor changed.

The answer

The three full years were audited by S.R. Batliboi & Associates, and the quarter to June 2026 by the new statutory auditor, Deloitte Haskins & Sells.[1][2] Deloitte's examination report says the earlier auditor's reports for all three years were modified, for matters in its report under the Companies (Auditor's Report) Order and on how the books were kept.[3] The DRHP lists these as audit-trail logging not switched on for some systems and users, and the cash losses made by the company and some subsidiaries.[4][5] It says none of these matters required any adjustment to the restated figures.[6]

Why it is ranked here

Ranked seventeenth: the audit points relate to controls rather than the reported numbers, so they matter less than the business findings above.

18.What contingent liabilities or commitments sit outside the balance sheet? No contingent liabilities reported; letters of comfort of ₹150.00 crore (JODL) and ₹140.00 crore (JOFL) to subsidiaries' banksMixed
What it means

Few obligations sit outside the accounts, which limits hidden exposure. The letters of comfort tie the parent to its subsidiaries' bank lines in practice, even though the DRHP says they create no legal duty to pay.

The answer

The DRHP reports no contingent liabilities at 30 June 2026 and says the company has no off-balance-sheet arrangements.[1][2] It does disclose letters of comfort to banks for its subsidiaries' credit lines, ₹150.00 crore for JODL and ₹140.00 crore for JOFL at the end of Fiscal 2026, which it says carry no contractual obligation to pay.[3] Other commitments are on the balance sheet, including lease liabilities of ₹33.37 crore and ₹10.00 crore of deferred cash for the home-building acquisition.[4][5]

Why it is ranked here

Ranked eighteenth: the amounts outside the balance sheet are small next to the business risks above.

19.How do the company's figures compare with the listed peers the document names? No listed peers named: the DRHP says none is comparable; price-based ratios left blankNot disclosed
What it means

Without a peer table, readers have no comparison printed in the offer document itself. The company's own return figures are negative for the full years, so earnings-based comparisons would in any case be of limited use.

The answer

There is no comparison: the DRHP says no listed Indian company is comparable with its combined business, so it names no peers.[1] It notes that this may make it harder for investors to judge the company's relative performance.[2] The price-to-earnings ratios are left blank because the price band is not fixed; the DRHP gives a return on net worth of (19.14%) for Fiscal 2026 and net asset value of ₹19.46 per share at 30 June 2026.[3][4][5]

Why it is ranked here

Ranked nineteenth: the DRHP gives no peer comparison to report, and the site does not build its own.

The DRHP gives two figures for revenue from related parties in Fiscal 2025: ₹84.12 crore in one table and ₹91.52 crore in another.[1][2] It says there were no material acquisitions in the periods covered, while the accounts record the purchase of 100% of the home-building business in the quarter to June 2026.[3][4] The amount for general corporate purposes, the offer price, the number of shares and the promoters' holdings after the offer are all left blank.[5][6] It also does not explain the ₹9.38 price of the promoter-group share purchase, or give contract terms for the JSW Group supply arrangements.[7]

Why it is ranked here

Last in the 20 because it gathers the gaps found in the findings above; marked Needs attention for the inconsistent figures and missing explanations, whose substance is weighed in findings 2, 6, 7 and 8.

What it means

If approved, the promoters would keep a say over spending, acquisitions and the business plan beyond what their votes alone give, which matters because they are also the main suppliers. The resolution has not been voted on, and the DRHP does not estimate what the brand royalty would cost.

The answer

The shareholders' agreement, amended in September 2026 to make way for the offer, ends with its special rights when the shares list, so the DRHP says no shareholder will have special rights on the listing date.[1][9] But the company has agreed to propose, at its first shareholders' meeting after listing, new articles letting JSW Steel nominate 3 directors and JSW Cement 2 for as long as each remains a promoter.[2][3][6] The proposal would also give the promoters a veto over matters such as capital spending above ₹50.00 crore in a single transaction, the annual business plan and acquisitions, and it needs a special resolution, so it may not pass.[4][5][6] JSW Steel and JSW Cement have agreed to vote together on these matters and, if they cannot agree, to vote against.[7] Separately, the JSW brand licence requires a royalty, such as 0.25% of marketplace revenue or 0.25% of trading gross margin, from the financial year after the company first reports a consolidated profit.[8]

Why it is ranked here

Ranked 21st, first after the top 20: the post-listing articles would give the promoters board seats and vetoes over major decisions, which deepens the JSW Group dependence in finding 2 and the control in finding 9; it stays outside the top 20 because shareholders must still approve the articles.

22.Is operating cash flow helped or hurt by timing effects such as delayed payments or advances?Payables to related parties ₹293.99 crore vs ₹30.58 crore to others at 30 June 2026; payables fell ₹(94.82) crore in the June quarterNeeds attention
What it means

Credit from related-party suppliers and customers' advances have carried a large part of the stock and receivables, so the cash position depends on the JSW Group keeping its payment terms. The DRHP gives no terms for this credit, and one quarter's fall in payables cannot show whether the terms are changing.

The answer

Helped, mainly by credit from related parties: at 30 June 2026 the company owed ₹293.99 crore to related-party suppliers and ₹30.58 crore to other suppliers, on payables the DRHP says are normally settled within 0 to 30 days.[1][2][3] Money received from customers before delivery (contract liabilities) also grew, to ₹116.86 crore from ₹45.41 crore at the end of Fiscal 2025.[4] In Fiscal 2026 rising trade payables added ₹157.24 crore to operating cash flow and other liabilities ₹108.64 crore, offsetting much of the cash tied up in receivables and stock.[5][6] In the June 2026 quarter this reversed: trade payables fell by ₹(94.82) crore and other liabilities by ₹(24.83) crore, while receivables released ₹90.40 crore.[5][6][7]

Why it is ranked here

Ranked 22nd: credit from related-party suppliers carried much of the stock and receivables build, so the cash use in finding 4 would have been larger without it; it is a further form of the JSW Group dependence in finding 2.

23.After the IPO, will the company have enough cash and funding for its needs?Cash ₹20.01 crore, other bank balances ₹211.85 crore, undrawn lines ₹232.62 crore at 30 June 2026; IPO money to be spent in Fiscals 2028-2030Needs attention
What it means

Management's statement relies partly on offer money that is earmarked for lending, technology and marketing from Fiscal 2028, so cash needs until then rest on existing balances and short-term bank lines. The DRHP gives no cash-flow forecast, so it does not show whether these sources cover continued cash use.

The answer

Management says existing cash, the offer proceeds and available borrowings will cover working capital and capital spending for at least the next 12 months.[1] At 30 June 2026 the group had ₹20.01 crore of cash and cash equivalents, ₹211.85 crore of other bank balances and ₹232.62 crore of undrawn committed facilities, while operations used ₹(115.17) crore of cash in the June 2026 quarter.[2][3][4] The fresh-issue money is scheduled to be spent only over Fiscals 2028 to 2030, and working capital is not one of its named uses: it appears only in the list of possible general corporate purposes, whose amount is left blank.[5][6][9] The DRHP warns that working-capital needs may grow as the distribution business scales, and that JOFL's capital needs will rise as it lends more.[7][8]

Why it is ranked here

Ranked 23rd: operations still use cash (finding 4) while the offer money is scheduled for later years (finding 6), so how the gap is funded matters soon after listing.

24.Have past acquisitions delivered what was described?JSW One Homes bought for ₹69.85 crore (₹44.57 crore goodwill) in June 2026; added ₹18.20 lakh revenue; quarter profit before tax would have been ₹10.13 croreNeeds attention
What it means

The purchase is too recent to show results, and on the DRHP's own pro forma figure it would have reduced the group's only profitable quarter. The DRHP does not explain that figure, why the partner network shrank, or how the business is expected to earn back the goodwill.

The answer

The company's only acquisition is the home-building business JSW One Homes (formerly Buildnext), bought in June 2026 for ₹69.85 crore, mostly in shares plus ₹10.00 crore of deferred cash; ₹44.57 crore of the price was recorded as goodwill.[1][2] In its few days in the group to 30 June 2026 it added revenue of ₹18.20 lakh and a loss of ₹7.70 lakh, and its own net worth was ₹53.10 lakh.[3][4] The DRHP says that had it been owned for the whole quarter, group profit before tax would have been ₹10.13 crore instead of the ₹14.20 crore reported.[5][6] The homes partner network has shrunk: 34 empanelled architects at the end of June 2026 against 103 at the end of Fiscal 2025, and 109 contractors against 208.[7] The DRHP's history section nonetheless states that the company has made no material acquisitions since incorporation (see 'Open questions' among the top findings).[8]

Why it is ranked here

Ranked 24th: the only acquisition is recent and mostly goodwill, and on the DRHP's own pro forma figure it would have lowered the single profitable quarter behind findings 3 and 11.

25.How do the key performance indicators the offer document reports compare across the years shown?Order value up 48.07% in Fiscal 2026 but buying customers flat at 6,280 (6,212); retention 38.03%; contribution margin 1.57% of NMVNeeds attention
What it means

Growth in Fiscal 2026 came from more and larger orders by a customer base of about the same size, and on the DRHP's retention measure fewer than half of a year's customers bought again in its last quarter, so growth depends on winning customers repeatedly. The DRHP does not explain the flat customer count or give order value per customer.

The answer

The value of orders on the platform (NMV) rose 48.07% to ₹15,754.99 crore in Fiscal 2026 and the number of orders to 57,457 from 41,345.[1][3] But the number of customers who placed an order barely changed: 6,280 in Fiscal 2026 against 6,212 in Fiscal 2025, after 3,831 in Fiscal 2024.[2] The retention ratio, the DRHP's measure of how many recent customers keep buying, was 38.03% in Fiscal 2026 and 36.46% in the June 2026 quarter.[3][4] What the commerce business keeps has improved: contribution margin rose to 1.57% of NMV in Fiscal 2026 from 1.23% in Fiscal 2024, and adjusted EBITDA to (0.39%) of NMV from (2.52%).[5][6]

Why it is ranked here

Ranked 25th: the company's own measures show order value growing while the number of buying customers stayed flat, which qualifies the growth in finding 3 and the drivers in finding 28.

26.How much cash remains after capital spending, and how has that changed?Capital spending ₹(72.80) lakh in Fiscal 2026, but operations used ₹(244.69) crore, so no cash was left after capital spending in any periodNeeds attention
What it means

The business needs little equipment, so capital spending does not explain its cash needs; losses, working capital and lending do. Because technology costs are expensed rather than capitalised, low capital spending does not mean low investment in the platform.

The answer

Capital spending is very small: ₹(72.80) lakh on property and equipment and ₹(3.70) lakh on intangible assets in Fiscal 2026, after ₹(1.97) crore and ₹(5.01) crore on property and equipment in the two years before.[1] So no cash remained after capital spending in any period: operating activities used ₹(244.69) crore in Fiscal 2026 and ₹(115.17) crore in the June 2026 quarter (see 'Cash used by operations').[2] Most technology spending is a running cost rather than capital spending: it totalled ₹70.86 crore in Fiscal 2026, of which salaries of technology staff made up 77.72%.[3][4]

Why it is ranked here

Needs attention because cash after capital spending was negative in every period, but ranked below findings 21 to 25 because it largely repeats the cash outflow already weighed in finding 4.

About this report: sources, what the assessments mean, terms used, how it is put together

Sources and scope

Based on the Draft Red Herring Prospectus dated 24 September 2026.

This report is based only on the DRHP dated 24 September 2026, with restated consolidated figures to 30 June 2026; the Red Herring Prospectus, when filed, may change these figures and will set the price band. Prepared on 25/10/2026; every quote checked word for word against its page by the site. Amounts are shown in crore (₹1 crore is ₹10 million) and, below ₹1 crore, in lakh (₹1 lakh is ₹0.1 million); the quotes keep the figures exactly as the document prints them.

What the assessments mean

Supportive
The reports show a position that supports the business on this point. It says nothing about whether the share price is attractive.
Needs attention
The reports show something a reader should look into further. It is not a conclusion that the business is weak.
Mixed
The evidence points both ways, or is not conclusive.
Not disclosed
The reports do not give this. Missing information is not, by itself, evidence of a weak business.
Not in the reports on the site
The answer is in a document the site does not yet hold (for example a proxy statement), not missing from the company's disclosures.
Not applicable
The question does not fit this kind of business.

Assessments and takeaways describe the business as its own reports show it. They say nothing about whether the share price is attractive, and they are not advice to buy or sell.

Terms used in this report

These are general explanations written by Review DRHPs, not taken from any company's prospectus. Rules such as limits and investor categories can change and can differ between mainboard and SME IPOs; the offer document itself is the authority for each IPO.

Borrowings
Money the company has borrowed and must repay, usually with interest.
Contingent liabilities
Possible payments that depend on how something turns out, such as a court case or a tax dispute. They are not counted as debts in the accounts.
Contribution margin
What is left from sales after the costs that rise with each sale, such as delivery. It comes before fixed costs like head-office staff, so it is not profit.
Crore
1,00,00,000 (ten million), which is 100 lakh.
Dilution
When new shares are created, existing owners end up holding a smaller percentage of the company.
DRHP
The draft IPO document filed with SEBI for review and public comments. Some details, including the offer price, are finalised later.
EBITDA
Profit before interest, tax and the yearly charge for wear and tear of assets. It measures profit, not cash.
Fresh issue
New shares created by the company. The money from them goes to the company.
General corporate purposes
Money the company can use for general business needs rather than a separately specified project.
IPO
The first public offer of a company's shares. It may include new shares, shares sold by existing owners, or both.
Listed peers
Similar companies already listed on a stock exchange, used for comparison.
Listing date
The day the shares start trading on the stock exchange.
Lock-in
A period during which certain shareholders are not allowed to sell their shares.
NAV per share
Net asset value per share: what the company owns minus what it owes, divided by the number of shares.
NMV
Net merchandise value: order value after returns and cancellations. Companies define it differently, so check the definition in the offer document.
Objects of the issue
What the company says it will spend the money on.
Offer for sale (OFS)
Existing shareholders selling some of their shares. The money goes to them, not to the company.
Operating cash flow
The cash the company's day-to-day business brought in, or used, during a period. It can differ from reported profit.
P/E
Price-to-earnings: the share price divided by earnings per share. It shows how many rupees are being paid for each rupee of yearly profit.
Price band
The range of prices you can bid within. The final price is fixed when bidding ends.
Proceeds
The money raised by selling shares in the IPO.
Promoter
The person or company that controls the business, usually the founders or main owners. They are named in the document.
Promoter group
A defined group of people and companies connected to the promoters, as listed in the prospectus.
Related party transactions
Business dealings with people or companies connected to the promoters, the directors or the company itself.
Restated financial statements
Past accounts adjusted and set out the same way for the IPO, so the years can be compared. It does not necessarily mean the original accounts were wrong.
Return on net worth
Profit as a percentage of the shareholders' money in the business.
Revenue from operations
Money earned from the company's main business: its sales.
RHP
The offer document used before bidding closes. It explains the IPO, but the final offer price and some related details are completed later.
Risk factors
The section of the document where the company sets out what could go wrong for its business or for investors.
Working capital
The money tied up in running the business day to day: mainly stock and money owed by customers, less money owed to suppliers.

How this report is put together

  • Material findings override the default rank: a serious finding belongs near the top whatever its question number.
  • "Not disclosed" and "Not applicable" stay distinct: missing information is not, by itself, evidence of a weak business; an unsuitable question is replaced with a useful one.
  • No assessment is given merely because a question appears on the list; every assessment rests on the figures and pages shown with it.
  • Nothing in the report says whether to apply for the IPO or whether its price is high or low; comparisons with peers are shown as the offer document prints them.

Information from the offer document. It does not predict share prices or tell you whether to apply, and it is not investment advice.
