Draft DRHP chapters, and review them before you file

A pilot, by invitation

Review DRHPs reads every offer document the way careful investors do, and publishes what deserves a closer look. Companies preparing a DRHP can now run the same review on their own draft, before filing.

How it works

  1. Answer structured questions, as a team. About the offer, the objects, the project and its funding, the capital history. Each answer can carry its evidence. One approver confirms the answers. If the company has already filed a DRHP we have reviewed, the questions start pre-filled from it.
  2. Generate a draft Objects of the Offer chapter. Every passage is traced to the answer it came from, information still missing is marked [●], and standard wording is marked for counsel. Download it as a Word file for your merchant banker and counsel.
  3. Review your draft. The same rules our public reviews apply to filed documents, run on your answers: what investors will read closely, what is worth checking, and checks to settle before filing, such as firm arrangements of finance, approvals about to lapse and lenders' consents.
  4. Sign off. Your approver marks the chapter ready for counsel once the draft and its review reflect the final answers.

Private to your team

An engagement is visible only to the people you name and to us. Nothing from it is published or shared with investors. The draft is a working aid for your merchant banker and counsel, who remain responsible for the offer document; it is not legal or investment advice.
